Terms of Service

1. Services Provided

TLS Tap Logistics Services provides freight dispatching, load planning, rate negotiation, carrier management, compliance support, document processing, and driver recruitment services to owner-operators, small fleets, and logistics companies. The specific scope of services for each client is defined in the individual service agreement or carrier packet signed at onboarding.

2. Eligibility

By using our website or services, you represent that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into a binding agreement.
  • You hold a valid USDOT number and operating authority (MC number) if engaging our dispatch services, or are otherwise authorized to act on behalf of an entity that does.

3. Service Fees & Payment

TLS charges a percentage-based fee on gross revenue per dispatched load, as agreed upon in your carrier service agreement. Specific fee rates are disclosed at onboarding and may vary based on service tier. Payment terms, factoring arrangements, and invoice cycles are governed by your individual agreement. TLS reserves the right to adjust fees with 30 days written notice.

4. Client Responsibilities

As a client of TLS, you agree to:

  • Maintain current, valid operating authority, insurance, and all required DOT/FMCSA registrations.
  • Provide accurate and complete information during onboarding and throughout the service relationship.
  • Communicate promptly regarding load acceptance, refusals, breakdowns, or any situation affecting delivery.
  • Comply with all applicable federal, state, and local laws governing commercial trucking operations.
  • Not engage in conduct that is fraudulent, negligent, or harmful to shippers, brokers, receivers, or TLS.

5. Limitation of Liability

TLS acts as a dispatching and logistics support agent. We are not a motor carrier, freight broker, or party to any transportation contract between carriers and shippers. TLS shall not be held liable for:

  • Cargo loss, damage, or delay caused by carrier operations.
  • Fines, penalties, or violations incurred by the carrier during service.
  • Disputes between carriers and brokers or shippers regarding load terms, detention, or payment.
  • Any indirect, incidental, or consequential damages arising from use of our services.

In no event shall TLS's total liability exceed the total fees paid by you to TLS in the 30 days preceding the claim.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information, client lists, rate structures, or operational data shared in the course of the service relationship. This obligation survives termination of the service agreement.

7. Termination

Either party may terminate the service relationship at any time with written notice. TLS reserves the right to immediately suspend or terminate services for:

  • Non-payment of fees.
  • Fraudulent or unethical conduct.
  • Loss of operating authority or required insurance.
  • Violation of these Terms or any service agreement provisions.

Upon termination, all outstanding fees become immediately due, and TLS will cease dispatching activity within one business day of notice.

8. Intellectual Property

All content on this website, including text, graphics, logos, and images, is the property of TLS Tap Logistics Services and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Harris County, Texas.

10. Changes to These Terms

TLS reserves the right to update these Terms at any time. Material changes will be communicated via email or prominent website notice. Your continued use of our services after such changes constitutes acceptance of the revised Terms.
